Terms and Conditions

The Embedded Advantage

By enrolling in The Embedded Advantage, you agree to the following Terms and Conditions:

1. Nature of Services

The Embedded Advantage is a structured 90-day business consulting engagement focused on conflict resolution strategy, communication improvement, leadership development, and change management. Although John J. Murray Jr. is licensed to practice law in Illinois, services provided through Murray Mediation & Consulting LLC are consulting services only. Enrollment does not create an attorney-client relationship. No legal advice, legal representation, financial advisory services, therapy, HR representation, or crisis intervention services are provided. If legal advice is needed, the client must retain separate legal counsel under a written legal engagement agreement.

2. Program Term

Each Embedded Advantage package is structured as a three-month engagement. Clients enroll in the full program structure and not individual sessions.

3. Payment Terms

The first monthly payment is due prior to program commencement and is non-refundable. The remaining two monthly payments are due fourteen (14) days prior to the beginning of each subsequent program month. Failure to make timely payment grants MMC the right to suspend services or cancel the remainder of the engagement. If MMC cancels due to non-payment, no further services will be provided, and all previously paid amounts remain non-refundable.

4. Client Cancellation

Clients may elect not to continue the program beyond a paid month. To avoid the next scheduled payment, written notice of cancellation must be provided prior to the next payment due date. No refunds will be issued for payments already made. If a written cancellation notice is not received prior to the next payment due date, that payment remains owed.

5. In-Person Delivery and Prepayment Requirement

Any in-person components will not be scheduled until the full three-month program fee has been paid in full. If a client wishes to schedule in-person delivery before the final scheduled payment date, the remaining balance must be prepaid. Once travel arrangements are made, no portion of the program is refundable.

6. Scheduling and Missed Meetings

Scheduled virtual sessions must be attended as agreed. If a client misses a scheduled session without making prior arrangements with MMC to reschedule, that session is forfeited. Rescheduling requests must be made in advance and are subject to availability.

7. Confidentiality & Privacy

MMC agrees to treat proprietary business information shared during the engagement as confidential, except where disclosure is required by law. Communications within this consulting engagement are not protected by attorney-client privilege unless a separate written legal engagement agreement is executed.

Murray Mediation & Consulting LLC values your privacy. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

8. No Guarantee of Results

MMC does not guarantee specific financial, operational, relational, cultural, or performance outcomes. Results depend on implementation, leadership decisions, and organizational conditions beyond MMC control.

9. Intellectual Property

All materials, frameworks, methodologies, presentations, and content provided during The Embedded Advantage remain the sole intellectual property of Murray Mediation & Consulting LLC. Clients may not reproduce, distribute, publish, or resell materials without written permission.

10. Limitation of Liability

To the maximum extent permitted by Illinois law, MMC’s total liability for any claim arising out of this engagement shall not exceed the total amount paid by the client for the program. MMC shall not be liable for indirect, incidental, consequential, or special damages.

11. Mediation Before Litigation

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith mediation in McHenry County, Illinois, before a mutually agreed-upon neutral mediator. The parties shall share the mediator’s fees equally. No party may initiate litigation until mediation has been attempted in good faith.

12. Attorney Fees and Enforcement

If MMC is required to enforce any provision of these Terms, MMC shall be entitled to recover reasonable attorney fees, costs, and expenses incurred in enforcing this agreement.

13. Governing Law and Venue

These Terms shall be governed by the laws of the State of Illinois. Any litigation shall be filed exclusively in the courts located in McHenry County, Illinois.

14. Entire Agreement

These Terms constitute the entire agreement between the parties unless supplemented by a separate written agreement signed by both parties.

15. Carrier Liability

Carriers are not liable for delayed or undelivered messages.

16. Age Restriction

You must be 18 years or older to participate in our SMS program.

17. SMS Messaging & Consent

By providing your mobile number and enrolling in The Embedded Advantage, you provide express written consent to receive SMS/text messages from Murray Mediation & Consulting LLC related to program updates, scheduling, and billing reminders.

Message Frequency: Message frequency varies based on your engagement and scheduling needs.

Rates: Message and data rates may apply.

Opt-Out: You may opt-out of text communications at any time by replying STOP. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.
